1. Definitions

“Software” means Aimyable’s cloud-based accounts payable automation platform, including the Aimy’s Workstation component and related services.

“Trial Period” means any free or beta access provided prior to paid subscription.

“Subscription Term” means the paid period beginning when Customer enters payment information and continuing until terminated.

2. Trial Access (Free or Beta)
2.1 Purpose

During the Trial Period, the Software is provided for evaluation only.

2.2 Experimental Nature

Customer acknowledges that the Software may contain bugs, errors, incomplete features, and unpredictable behavior.

2.3 No Guarantees

The Software is provided “AS IS” during the Trial Period. Aimyable makes no warranties of any kind.

2.4 Customer Responsibility

Customer is solely responsible for verifying all results before acting on them.

2.5 Limitation of Liability (Trial Period)

To the maximum extent permitted by applicable law:

  • Exclusion of Damages: Aimyable shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, or business interruption, even if Aimyable has been advised of the possibility of such damages.
  • Liability Cap: Aimyable’s total aggregate liability for all claims arising out of or related to the Trial Period (whether in contract, tort, or otherwise) shall not exceed five hundred U.S. dollars ($500).
2.6 Termination of Trial

Aimyable may suspend or terminate Trial access at any time for any reason.

3. Paid Subscription
3.1 License

Subject to this Agreement and payment of fees, Aimyable grants Customer a limited, non-exclusive, non-transferable license to use the Software for internal business purposes.

3.2 Fees

Customer agrees to pay the fees presented at checkout or renewal. All fees are non-refundable except as required by law.

3.3 Automatic Transition

If Customer continues using the Software after Trial expiration and submits payment information, the Subscription Term begins automatically and this Agreement continues without requiring a new acceptance.

4. Data and Security
4.1 Data Processing

Customer may submit invoice and related data for processing. Customer represents it has all rights necessary to provide such data.

4.2 Storage and Retention

Data may be stored temporarily in encrypted format. Unless otherwise agreed in writing, Aimyable may delete Customer data after processing or within a commercially reasonable retention period.

4.3 No Guarantee of Preservation

Customer is responsible for maintaining its own backups. Aimyable does not guarantee against loss or corruption of data.

4.4 Data Privacy

Each party shall comply with all applicable privacy laws. To the extent Aimyable processes "Personal Data" or "Personally Identifiable Information" on Customer’s behalf, the terms of the Aimyable Data Processing Addendum (DPA), attached hereto or available at app.aimyable.com, are hereby incorporated by reference.

5. Acceptable Use

Customer shall not:

  • (a): reverse engineer, decompile, modify, or create derivative works of the Software;
  • (b): resell, sublicense, lease, or provide access to the Software to any third party without Aimyable’s prior written consent;
  • (c): use the Software for any unlawful purpose or in violation of applicable law;
  • (d): interfere with or disrupt the integrity, security, or performance of the Software;
  • (e): use the Software in connection with illegal gambling, federally illegal controlled substances, unlicensed pharmaceuticals, deceptive schemes, or other high-risk or unlawful businesses;
  • (f): use the Software or its outputs to develop a competing accounts payable, automation, or RPA product;
  • (g): use automated crawling, scraping, or similar technologies to extract data from the platform; or
  • (h): circumvent any service limits, access controls, or security mechanisms.
Enforcement

Aimyable may suspend or terminate access to the Software for violations of this Section.

6. Third-Party Providers

The Software relies on third-party services (e.g., cloud hosting and AI providers). Aimyable is not responsible for outages or failures caused by such providers.

6.1 AI-Generated Content

Customer acknowledges that the Software utilizes machine learning and artificial intelligence to process data.

While Aimyable strives for accuracy, outputs may be incomplete or inaccurate.

Customer is solely responsible for a "human-in-the-loop" review of all Software outputs before processing payments or taking financial action.

Aimyable shall have no liability for financial losses resulting from automated errors.

7. Intellectual Property
7.1 Aimyable Property

Aimyable retains all right, title, and interest in and to the Software, including the Aimy’s Workstation components, the platform architecture, any AI or machine learning models, and all modifications or derivative works thereof.

No ownership rights are transferred to Customer under this Agreement.

7.2 Customer Data

As between the parties, Customer retains all right, title, and interest in the raw data, invoices, and files uploaded to the Software ("Customer Data").

Customer grants Aimyable a limited, non-exclusive license to host and process Customer Data solely as necessary to provide the services.

7.3 De-Identified Data

Aimyable may create de-identified, anonymized, and aggregated data sets derived from the use of the Software ("Usage Data").

Aimyable may use Usage Data to train its machine learning models, improve its products, and for other internal business purposes.

Usage Data will not contain any Personal Data or identify Customer or its vendors.

7.4 Feedback

If Customer provides suggestions or feedback ("Feedback"), Aimyable may use such Feedback without restriction or obligation to Customer.

8. Confidentiality
8.1 Confidential Information

Each party (“Receiving Party”) agrees that it may receive non-public, confidential, or proprietary information from the other party (“Disclosing Party”), including without limitation technical information, product details, pricing, business plans, customer data, and other information designated as confidential or that reasonably should be understood to be confidential (“Confidential Information”).

8.2 Obligations

The Receiving Party shall:

  • (a): use Confidential Information solely for purposes of performing under this Agreement;
  • (b): not disclose Confidential Information to any third party except to its employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those set forth herein; and
  • (c): protect Confidential Information using reasonable care, and no less than the care it uses to protect its own confidential information of a similar nature.
8.3 Exclusions

Confidential Information does not include information that:

  • (a): is or becomes publicly available without breach of this Agreement;
  • (b): was lawfully known to the Receiving Party prior to disclosure;
  • (c): is lawfully received from a third party without restriction; or
  • (d): is independently developed without use of or reference to the Disclosing Party’s Confidential Information.
8.4 Required Disclosure

The Receiving Party may disclose Confidential Information to the extent required by law or court order, provided it gives reasonable notice (where legally permitted) to allow the Disclosing Party to seek protective treatment.

8.5 Survival

The obligations in this Section shall survive termination of this Agreement for a period of three (3) years, except with respect to trade secrets, which shall be protected for so long as they remain trade secrets under applicable law.

9. Publicity

Unless Customer opts out in writing, Customer grants Aimyable the right to identify Customer as a client and use its name and logo in marketing materials.

10. Indemnification

Customer shall defend and indemnify Aimyable against claims arising from:

  • Customer’s misuse of the Software
  • Customer’s data
  • Customer’s violation of law
Trial Access

Aimyable does not provide IP infringement indemnity during Trial access.

Paid Subscriptions

For paid subscriptions, Aimyable will defend Customer against third-party claims that the Software infringes U.S. intellectual property rights, provided Customer promptly notifies Aimyable and cooperates in defense.

Aimyable’s total liability for such claims remains subject to Section 11.

11. Limitation of Liability
11.1 Exclusion of Indirect Damages

To the maximum extent permitted by law, neither party shall be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, loss of business opportunity, or loss of data, even if the party has been advised of the possibility of such damages.

11.2 Aggregate Liability Cap

Except for liability arising from Customer’s indemnification obligations under this Agreement, Aimyable’s total aggregate liability arising out of or related to this Agreement shall not exceed the total subscription fees paid by Customer to Aimyable in the twelve (12) months preceding the event giving rise to the claim.

11.3 Scope

These limitations apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and shall survive the termination of this Agreement.

12. Limited Warranty; Disclaimer
12.1 Limited Operational Warranty

During the Subscription Term, Aimyable warrants that the Software will operate in material conformity with its generally available descriptions of functionality.

If the Software fails to comply with this warranty, Customer’s sole and exclusive remedy shall be that Aimyable will use commercially reasonable efforts to correct the nonconformity.

If Aimyable is unable to correct the nonconformity within a reasonable time, Customer may terminate the Subscription, and Aimyable will refund any prepaid, unused fees for the remainder of the Subscription Term.

12.2 Disclaimer

Except as expressly provided in Section 12.1, the Software is provided “AS IS” and “AS AVAILABLE.”

Aimyable disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

Aimyable does not warrant that the Software will be uninterrupted, error-free, or free from defects.

13. Term and Termination

Either party may terminate the Subscription at the end of the then-current billing period.

Aimyable may suspend or terminate for breach.

Sections relating to IP, confidentiality, indemnity, limitations of liability, and governing law survive termination.

14. Governing Law and Venue

This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles.

15. Entire Agreement

This Agreement constitutes the entire agreement and supersedes prior discussions.

Aimyable may update these terms for future renewals. Continued use after renewal constitutes acceptance of updated terms.

16. Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, service outages resulting from third-party infrastructure (e.g., internet service providers or cloud hosting), or strikes.

17. Digital Coworker & Local Action Disclaimer
17.1 Agency and Local Execution

The Software acts as a "Digital Coworker" that executes tasks locally on Customer’s hardware.

Customer acknowledges that when the Software interacts with third-party websites, banks, or ERP systems, it does so as an authorized agent of the Customer, using the Customer’s local environment, IP address, and credentials.

17.2 Credential Security

Customer is solely responsible for the security of any login credentials, session tokens, or multi-factor authentication (MFA) provided to or used by the Software.

Aimyable does not store or see bank passwords unless explicitly required by the Software architecture, and Customer assumes all risk related to the local storage of such credentials.

17.3 Execution of Financial Transactions

If Customer instructs the Software to initiate wire transfers, ACH payments, or other financial transactions:

  • Final Verification: Customer is responsible for the accuracy of all data entry performed by the Software.
  • Irreversibility: Customer acknowledges that many financial transactions (e.g., wire transfers) are irreversible. Aimyable is not liable for "input errors" or "bot-driven" transactions that result in the transfer of funds to unintended parties.
  • Bank Terms: Customer remains bound by its own agreements with its financial institutions. Aimyable is not a "money transmitter" or "payment processor."
17.4 Local Environment and Security Responsibility

Customer acknowledges that the Software operates within an environment controlled and secured by the Customer (including any workstation, virtual machine, or local computer on which it is installed). Customer is solely responsible for the maintenance, security, configuration, and network environment of such systems.

Aimyable shall have no liability for any failures, unauthorized transactions, data loss, security breaches, or other damages resulting from hardware failures, operating system errors, network misconfigurations, malware, “man-in-the-browser” or “man-in-the-middle” attacks, unauthorized third-party access, or any other compromise or malfunction occurring within Customer’s environment, regardless of whether the Software is installed on a shared or dedicated machine.

18. Dispute Resolution; Arbitration
18.1 Informal Resolution

The parties agree to attempt in good faith to resolve any dispute arising out of or relating to this Agreement through informal discussions before initiating arbitration.

18.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted by a single arbitrator. The place of arbitration shall be Delaware. Judgment on the award may be entered in any court having jurisdiction.

18.3 Class Action Waiver

The parties agree that any arbitration shall be conducted on an individual basis only and not on a class, collective, consolidated, or representative basis.

18.4 Injunctive Relief

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction for claims relating to intellectual property rights or unauthorized access to the Software.

Data Processing Addendum (DPA)
1. Applicability

This DPA applies where Aimyable processes "Personal Data" (as defined by GDPR, CCPA, or similar laws) on behalf of the Customer in the course of providing the Software services.

2. Roles of the Parties

Customer is the "Controller" or "Business": You determine why and how the data is collected.

Aimyable is the "Processor" or "Service Provider": We only process the data to provide the services requested by you.

3. Processing Instructions

Aimyable will process Personal Data only:

  • To provide the Software services (e.g., extracting data from invoices).
  • In accordance with the Customer’s documented instructions.
  • As required by applicable law.
4. Data Security

Aimyable shall implement commercially reasonable technical and organizational measures to protect Personal Data, including:

  • Encryption: Data is encrypted at rest and in transit.
  • Access Control: Access is limited to authorized personnel needing it for service delivery.
  • Confidentiality: All Aimyable personnel are bound by strict confidentiality obligations.
5. Sub-processors

Customer grants Aimyable general authorization to engage sub-processors (e.g., AWS, OpenAI, or Google Cloud). Aimyable will maintain a list of these sub-processors and ensure they are bound by data protection terms no less restrictive than those in this DPA.

6. Data Subject Rights

If a person (e.g., one of your vendors or employees) contacts Aimyable to exercise their privacy rights (right to delete, right to access), Aimyable will forward that request to the Customer. Aimyable will provide reasonable assistance to the Customer to fulfill such requests.

7. Security Incident Notification

In the event of a confirmed Security Incident involving Customer’s Personal Data, Aimyable shall notify Customer without undue delay after becoming aware of the Security Incident.

Such notification may be provided in phases as information becomes available.

Aimyable shall use commercially reasonable efforts to investigate, mitigate, and remediate the Security Incident and shall provide Customer with information reasonably necessary for Customer to meet its own legal obligations.

8. Deletion or Return

Upon termination of the Agreement, Aimyable will delete or return Personal Data at the Customer’s request, unless legally required to retain a copy for tax, audit, or compliance purposes.
